Subscription terms.

1. Who these terms are for

1.1 PROJEKT is provided for business use only, to bathroom retailers, showrooms, designers and similar trade businesses. By starting a trial or subscription you confirm that you are acting for a business and not as a consumer.

1.2 "You" means the business (the "Organisation") that registers for PROJEKT. The person who registers confirms that they are authorised to accept these terms on the Organisation's behalf.

1.3 These terms, together with our Privacy Notice and the Data Processing Terms in Schedule 1, form the whole agreement between you and us about PROJEKT.

2. Accounts and named users

2.1 Each person who uses PROJEKT needs their own login. Logins must not be shared.

2.2 A "named user" is any active member of your Organisation with the role of owner, administrator, designer or viewer. Invited, suspended and removed members are not named users.

2.3 Your subscription covers the number of named users you pay for. You cannot have more active named users than that number.

2.4 Your Organisation owns the projects created in it, not the individual employee who created them. If you remove a member, their access ends immediately and the Organisation's projects remain with the Organisation.

2.5 You are responsible for keeping login details secure, for everything done under your Organisation's logins, and for promptly removing people who should no longer have access. Owners and administrators may be required to use an authenticator app.

3. Free trial

3.1 A new Organisation may use PROJEKT free for 7 days, starting when the registering person confirms their email address. No payment card is needed to start a trial.

3.2 A trial includes up to 5 named users.

3.3 Each email address can start one free trial only. We may refuse or end a trial if we reasonably believe trials are being used to avoid paying.

3.4 When the trial ends, access to PROJEKT stops unless you have started a paid subscription. You can still sign in to choose a plan. Your projects are kept as set out in section 9.

4. Plans and prices

4.1 PROJEKT is available on two plans:

• Monthly: £49 per named user per month, renewing monthly.
• Annual: £490 per named user per year, renewing yearly.

4.2 VAT. We are not currently registered for VAT, so no VAT is added to our prices. If we register for VAT, we will tell you at least 30 days before VAT is added. Prices will then be the stated price plus VAT at the applicable rate.

4.3 Launch Offer. On your Organisation's first paid monthly subscription, the monthly price is reduced by £20 per named user for your first three monthly payments. That means you pay £29 per named user per month for those three months. From the fourth monthly payment, the full price of £49 per named user per month applies automatically.

• The offer is available once per Organisation, on the Organisation's first paid subscription only.
• It applies to monthly plans only.
• It cannot be combined with any other discount or promotion code.
• If you add named users during the offer period, they are also charged at the offer rate for the remaining offer months.
• We may withdraw the Launch Offer for new subscriptions at any time. This does not affect subscriptions already receiving it.

4.4 We may change our prices for future billing periods by giving you at least 30 days' notice by email. A price change takes effect from your next renewal after the notice period. If you do not accept it, you can cancel before it takes effect.

5. Payment

5.1 Payments are taken by our payment provider, Stripe, using the payment method you provide. We do not store your full card details.

5.2 Subscriptions are paid in advance at the start of each billing period and renew automatically until cancelled.

5.3 Adding named users takes effect immediately. You are charged a proportionate (pro rata) amount for the rest of the current billing period. During the Launch Offer, this charge appears on your next invoice; otherwise it is charged straight away.

5.4 Reducing named users takes effect from your next renewal. No credit or refund is given for the current period. You must first remove or suspend members so that the number of active named users is no more than the new number.

5.5 Failed payments. If a renewal payment fails, you keep access until the end of the period you have already paid for, and we will email you. If payment is still not made by then, access ends. There is no grace period.

6. Cancellation and refunds

6.1 You can cancel at any time from Plan and billing. Cancellation takes effect at the end of your current paid period, and you keep access until then.

6.2 Monthly subscriptions have no minimum term beyond the current month.

6.3 We do not give refunds for unused time, part periods or unused named users, except where the law requires it.

7. When access ends

7.1 When your trial or paid subscription ends, access to PROJEKT stops for all of your Organisation's users. This includes viewing, editing and exporting projects. You can still sign in to subscribe again.

7.2 If you subscribe again while your projects are still held (section 9), access to them is restored.

8. Using PROJEKT

8.1 We grant your named users a non-exclusive, non-transferable right to use PROJEKT for your business during your trial or subscription.

8.2 You must not:

• copy, resell or sublicense PROJEKT;
• try to access other organisations' data, or bypass security or usage limits;
• reverse engineer the software, except as the law allows;
• use PROJEKT unlawfully, or upload content you do not have the right to use.

8.3 PROJEKT is a design and visualisation tool. Designs, plans, measurements and product placements are for presentation and planning. You are responsible for checking dimensions, product suitability, regulations and installation requirements before ordering or fitting anything.

8.4 We own PROJEKT, its software, catalogue, models, materials and branding. You own the designs and project content your Organisation creates. You give us permission to store and process that content only to provide PROJEKT to you.

9. Your data and retention

9.1 While your trial or subscription is active, we store your Organisation's projects and account data.

9.2 After your trial or subscription ends, we keep your Organisation's projects for 6 months. We will email your Organisation's owners and administrators about 30 days and about 7 days before the end of that period. After the 6 months, your projects may be permanently deleted.

9.3 We handle personal data as described in our Privacy Notice and in Schedule 1.

10. Availability and support

10.1 We aim to keep PROJEKT available and working well, but we do not guarantee uninterrupted or error-free service. We may carry out maintenance and make changes to improve PROJEKT.

10.2 Support is provided by email at hello@projektdesign.co.uk. We do not currently offer a guaranteed response time.

10.3 PROJEKT runs in a web browser. We will publish the supported browsers and devices, and you are responsible for suitable hardware and an internet connection.

11. Liability

11.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.

11.2 Subject to 11.1, we are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.

11.3 Subject to 11.1, our total liability to you in any 12-month period is limited to the fees you paid us in that period.

12. Suspension and ending by us

12.1 We may suspend or end your access if you seriously or repeatedly break these terms, if payment is not made, or if we must do so to protect PROJEKT or other users. Where reasonable, we will tell you first.

12.2 If we decide to stop providing PROJEKT altogether, we will give at least 60 days' notice and refund any fees paid for the period after the service ends.

13. Changes to these terms

We may update these terms. For changes that materially affect you, we will email you at least 30 days before they take effect. Continuing to use PROJEKT after that date means you accept the updated terms.

14. General

14.1 You may not transfer these terms without our written consent. We may transfer them to a successor business.

14.2 If any part of these terms is found unenforceable, the rest remains in effect.

14.3 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Schedule 1 — Data Processing Terms

S1.1 Roles. For personal data about your customers and staff that you put into PROJEKT, you are the controller and we are the processor. We are the controller of account and billing data we need to run our business, as described in our Privacy Notice.

S1.2 Instructions. We process your data only to provide PROJEKT under these terms, and on your documented instructions, unless the law requires otherwise.

S1.3 Confidentiality and security. Our staff and contractors who access your data are bound by confidentiality. We use appropriate technical and organisational measures, including encrypted connections, access controls and separation between organisations.

S1.4 Sub-processors. You authorise us to use the following sub-processors:

• Vercel (application hosting)
• Supabase (database and authentication)
• Stripe (payments)
• our email delivery provider

We will tell you before adding or replacing a sub-processor, and you may object.

S1.5 Assistance. We will help you, where reasonable, with data subject requests, security, breach notification and data protection impact assessments. We will notify you without undue delay after becoming aware of a personal data breach affecting your data.

S1.6 End of service. When your subscription ends, we keep your data as set out in section 9 and then delete it, unless the law requires us to keep it. During your subscription, you can export your projects using PROJEKT's export features.

S1.7 Audit. We will make available the information reasonably needed to show compliance with this schedule.
